Terms and conditions
These terms and conditions are effective as of 1 September 2022.
1. Definitions
In these terms and conditions, the following definitions apply: Eva Pantelakis: the sole proprietorship of Eva Pantelakis, established in Winschoten 9673 AJ at Garst 122.

Client: the contracting party of Eva Pantelakis (or their authorized representative).
Agreement: the service agreement between the client and Eva Pantelakis.
Applicability
These terms and conditions apply to all agreements, assignments and/or quotes or other legal relationships between Eva Pantelakis and the client, unless otherwise agreed prior to the agreement. The terms and conditions also apply to follow-up assignments and additional assignments.
Eva Pantelakis is entitled to amend these terms and conditions, after which the amended terms and conditions will apply to ongoing and new agreements from the moment of amendment without further notice.
Agreements
An agreement comes into effect when Eva Pantelakis has accepted it.
Purpose
Providing trainings, coaching sessions, hosting assignments, lectures, performances and team building sessions are carried out exclusively under the direction of Eva Pantelakis.
2. Further description of purpose
Eva Pantelakis aims to guide people to present in front of a group with more confidence and ease.
She also guides people to express themselves more effectively in one-on-one conversations. She shares her knowledge by giving lectures, hosting events and facilitating team building sessions.
She also performs as a (training) actress and singer to help people experience in a relaxed way who they are, what they value and how they can express themselves in contact with others.
Resources
To guide people as effectively as possible, Eva Pantelakis offers group training, which people can attend live or online.
She also offers one-on-one coaching sessions, which people can attend live or online. The live group trainings or live one-on-one coaching sessions take place at Garst 122, 9673 AJ in Winschoten.
The online group trainings or online one-on-one coaching sessions are delivered via Zoom, Webex, Google Meet or Teams.
Eva also offers live group trainings on location. This can be an in-company training, within the client’s premises. In addition, Eva Pantelakis rents external training locations, enabling her to work with more clients in other cities in the Netherlands and abroad.
Eva Pantelakis performs as a (training) actress and singer at locations organized by the client, such as a theatre hall, conference center, training center or external training space.
In addition, Eva Pantelakis gives lectures at locations organized by the client, such as a theatre hall, conference center, training center or external training space.
Eva Pantelakis also facilitates team building sessions within the client’s premises or an externally arranged location such as a theatre hall, conference center, training center or external training space.
Finally, Eva Pantelakis works as a host/moderator within the client’s premises or an externally arranged location such as a theatre hall, conference center, training center or external training space.
Via LinkedIn, Instagram, Facebook and YouTube, Eva Pantelakis shares posts and videos about her work.
3. Quote
a. All quotes from Eva Pantelakis are non-binding. After the quote has been sent, the offered date and location will be held for 7 days. If the quote is not returned signed, no rights whatsoever can be derived from the quote if the offered date for the training or workshop is no longer available after these 7 days.
b. The prices stated in a quote are exclusive of VAT. The costs of rehearsal materials and any audiovisual aids are to be provided by the client, unless otherwise agreed.
c. A composite price quote does not obligate Eva Pantelakis to perform part of the assignment at a corresponding portion of the quoted price. Offers or quotes do not automatically apply to future orders.
4. Invoicing and Payment
Eva Pantelakis invoices the client after the day of execution of the assignment and applies a maximum payment term of 10 days.
If payment has not been made within the aforementioned 10-day period, the agreement is automatically dissolved without further legal intervention.
If no payment is made after a first payment reminder and/or demand, the client is legally in default and liable for the full agreed amount, increased by extrajudicial and judicial collection costs and administrative costs. Eva Pantelakis is authorized to engage a bailiff, with the costs of said bailiff being fully borne by the client.
Eva Pantelakis is not obliged to continue or renew the agreement in any other way. Suspension of activities does not affect the client’s obligation to make payment. Eva Pantelakis accepts no liability whatsoever for any damage to the client (or third parties) resulting from the suspension of her activities.
Eva Pantelakis may agree to the substitution of a third party for the client, such as an employer, institution or guardian.
5. Cancellation / Right of withdrawal
Cancellation/withdrawal by the client
a. After signing the quote, the client has 14 days to dissolve/withdraw from the agreement free of charge.
b. The client is entitled to cancel the training. In the event of cancellation, the client owes Eva Pantelakis a fee according to the following schedule:
- Cancellation up to 1 week before the planned start of the assignment: 50% of the quoted price. If a new date is agreed upon when cancelling up to 1 week before the start of the assignment, only costs already incurred in advance, such as catering and location costs, will be charged.
- Cancellation within 48 hours before the planned start of the assignment: 100% of the quoted price. If a new date is agreed upon between parties when cancelling within 48 hours before the planned start of the assignment, only costs already incurred in advance, such as catering and location costs, will be charged.
Cancellation by Eva Pantelakis
a. In case of illness and/or force majeure, Eva Pantelakis will notify the client in a timely manner, or as soon as possible. In that case, Eva Pantelakis will propose alternative dates as soon as possible.
b. Eva Pantelakis reserves the right to cancel an assignment up to 2 weeks before execution. Clients will be informed as soon as possible. Where possible, Eva Pantelakis will offer an alternative date in consultation with the client.
Cancellation by a participant of participation in trainings and coaching sessions
a. In situations of demonstrable force majeure, this force majeure must be demonstrated. In case of illness: by providing a medical certificate. In case of the death of close relatives in the first or second degree of kinship, partner or ex-partner: by showing a death notice/card.
b. Only in situations of force majeure as mentioned under a, can the participant of a (online) group training book an additional make-up online session with Eva Pantelakis in consultation with her. This session lasts a maximum of 2 hours and a fee of €150 exclusive of 21% VAT will be charged.
c. If the force majeure as referred to under a is deemed present by Eva Pantelakis, cancellation is possible whereby only the administrative costs will be charged.
d. In case of cancellation without demonstrable reason of a coaching session within 48 hours before the coaching session takes place, the full invoice must be paid. In consultation with the participant, Eva Pantelakis may propose a date for a make-up session for the missed coaching session, after which no costs are owed for the missed session, except for administrative costs.
6. Liability
a. Any liability of Eva Pantelakis for damages towards clients and third parties is limited to the amount to which a claim can be made in the relevant cases under the professional liability insurance taken out by Eva Pantelakis.
b. If for any reason no payment is made under the insurance referred to in the preceding paragraph a, the liability of Eva Pantelakis or persons working for her (in whatever capacity) is limited to the costs paid by the client, with a maximum of €500.00, except in cases of intent or gross negligence.
c. Eva Pantelakis is not liable for any shortcomings of third parties or materials engaged by her.
d. Eva Pantelakis is exclusively liable for any direct damages. Indirect damages are not covered by liability and will therefore not be compensated.
7. Applicable law and disputes
a. Dutch law applies to all legal relationships between Eva Pantelakis and the client (or third parties). The District Court of Noord Nederland, Groningen location, has exclusive jurisdiction over all disputes arising from or related to the work performed by or on behalf of Eva Pantelakis.
b. Parties will first make every effort to resolve any dispute through mutual consultation before resorting to legal proceedings.
